Description | The Business Corporations Act requires the general meeting to grant the consent to the most important legal acts of the company. However, it cannot be overlooked that the general meeting consists of members of the company and that the adopted resolution of the general meeting is the result of their votes. The question is whether it is necessary to insist on the consent granted by the general meeting as the body of the business corporation or this requirement can be avoided if all members grant their consent informally only by signing the agreement which should be approved. |
