| Description | The paper deals with one of the elements of Corporate Governance, namely conditions of responsability of the board's members in business companies. It describes some of decisions of american courts and showes rules that have been developed for consideration of the manner i which the directors perform their duties. This rules, which are cold Business Judgment Rule, have been taken over by the German law and are one part of the Bill of joint-stock company. The principles consist in requirement to be independent and make decisions with due care and good faith. |
