Description | The aim of this monograph is to analyse selected provisions of the new Czech Civil Code from the perspective of cross-border business transactions. Authors present the new Civil Code as one of the sources of regulation of cross-border business relationships, and they seek to verify that the new law reflects – in questions relating to formation, interpretation, application and executing the contract, as well as to a breach of the contract - “international” standards of regulation established by the Convention on International Sale of Goods, UNIDROIT Principles and Principles of European Contract Law. This particular chapter focuses on standard terms and conditions as a possible part of an international (sales) contract. More specifically, it addresses mainly the following issues: incorporation of standard terms and conditions into the contract, the so-called battle of forms and possible solutions thereto, and treatment of surprising terms. These issues are analysed from the viewpoint of the CISG, UNIDROIT Principles, and the new Civil Code. |
