| Description | This paper deals with the new obligation of a business corporation to register its benefi-cial owner into the Beneficial Ownership Register in relation with companies with partic-ipating securities in certificated form that are enabled by legal regulation to hide their owners. Particular attention is given to consequences for the company and their share-holders connected with invalid record in the register. Effectiveness of the established Beneficial Ownership Register will be also assessed, including the expected consequences of the adoption of the V. AML Directive. |
