| Description | The admissibility of an efficient breach of contract cannot be mechanically transferred to areas where the obligation to act in conformity with the law derives from the legal provisions. The business judgment rule does not legitimize a violation of the law in the corporation's purportedly defensible interest. It justifies the position that loyalty to the corporation cannot stand above loyalty to the law. |
